Terms for Clients: The Introduction of Tutors to Families, Schools and Businesses

1. These Terms
1.1 These are the terms and conditions (the "Terms") on which we supply our Services to you. Please read these Terms carefully before you submit your request for Services to us. These Terms tell you who we are, how we will provide Services to you, how you and we may change or end the contract, what to do if there is a problem and other important information. If you think there is a mistake in these Terms, please contact us to discuss. We particularly bring your attention to clause 12 which sets out limits on our responsibility.
1.2 We are Teachers To Your Home Ltd, a company registered in England and Wales (No. 09204189). Registered office: 8 King Edward Street, Oxford, OX1 4HL. VAT No. 306567694. "British Teachers" is our international division providing online tuition worldwide.

1.4 If we have to contact you, we will do so by telephone, SMS text or by writing to you at the email address you provided in your request for Services.
1.5 "Writing" includes emails and messages sent through our website.
1.6 "Tutor" means a person introduced by us to you, to be engaged by you as a tutor.
1.7 "Engagement/engage/engaged" means the engagement (including the Tutor's acceptance of your offer), employment or use of the Tutor by you or by any third party to whom you have introduced the Tutor.
1.8 "Introduction/introduce/introduced" means the passing of a curriculum vitae (CV) or information about the Tutor to you, or the interview of a Tutor by you (in person or by audio/visual means), which leads to the engagement of the Tutor.
1.9 These Terms may change from time to time; we will endeavour to notify you of material changes. Please review our website periodically for updates.

2. Acceptance of Terms and Conditions
You (family, school or business client) will be deemed to have accepted these Terms on the earlier of: accepting via our website; asking us to introduce Tutors or arrange interviews; or arranging a lesson ("Lesson") with a Tutor introduced by us.

3. Our Services
3.1 We provide Services to Families, Schools and Businesses which include introducing Tutors to be engaged by you to provide tuition to a child/student/adult learner ("Services"). For the purposes of these Terms, we act as an employment agency (Section 13(2), Employment Agencies Act 1973).
3.2 Following your request, we will endeavour to provide a shortlist of suitable Tutors. You may then contact one or more Tutors to arrange an interview and, if suitable, engage a Tutor to provide Lessons.
3.3 Tutors are self-employed and are engaged directly by you to provide tuition on a one-to-one or group basis at a frequency agreed between you and the Tutor. Tutors have no authority to bind Teachers To Your Home Ltd.
3.4 The Tutor will coordinate Lessons with you and may request relevant background information from you and/or the learner.
3.5 Teaching and learning resources are provided by the Tutor directly to you. We do not provide teaching materials.
3.6 Lessons may be online (including internationally via British Teachers), at your home or school, or at an agreed venue (e.g., workplace), subject to suitability and safeguarding.
3.7 If our supply of the Services is delayed by an event outside our control, we will contact you as soon as possible and take steps to minimise the effect. Provided we do this, we will not be liable for the delay. If there is a risk of substantial delay you may end the contract and receive a refund for any Services paid for but not received.

4. Fees and Payment
4.1 No registration fee is payable for using our website.
4.2 The hourly Tuition Fee is agreed between you and the Tutor in advance of a Lesson. Guidance on typical market rates is available on our website.
4.3 After each Lesson, the Tutor submits a timesheet (via our website) for your approval, detailing the Lessons taught.
4.4 You can message your Tutor through our website (or other agreed means) if you have a query about a timesheet.
4.5 Our fee for the Services (the "Platform Fee") is one third (33.3333%) of the Tuition Fee for each Lesson. The Platform Fee includes VAT.
4.6 Two payment options (available to Families, Schools and Businesses):
(a) Pay-as-you-go (card on file): Add a valid payment card. After you approve a timesheet, our system charges the Tuition Fee (paid directly to the Tutor via our payment provider) and the Platform Fee (paid to us). If you do not approve within the window shown in your account, charging may occur automatically.
(b) Credits (prepay and draw down): You may buy credits in advance (by card or bank transfer). 1 credit = £1.00. After you approve a timesheet, the corresponding Tuition Fee and Platform Fee amounts are deducted from your balance. You may request a full refund of any unused credit balance at any time to the original payment method (or by bank transfer). Refunds are net of any non-recoverable bank/transfer charges.
4.7 We recommend using Stripe Payments Europe Ltd ("Stripe") for secure payment processing (the "System"). We are not responsible for the provision of Stripe's services; your use of the System is subject to Stripe's terms.
4.8 You are liable for payment of all Tuition Fees directly to the Tutor. We do not receive Tuition Fees on the Tutor's behalf. If you pay via the System, the Tuition Fee is remitted directly to the Tutor and the Platform Fee to us.
4.9 If the rate of VAT changes between requesting and receiving a Lesson, the VAT on the Platform Fee will be adjusted to the rate in force on the Lesson date unless you have already paid the Platform Fee in full.
4.10 If we are unable to collect any amount you owe by the due date, we may charge interest at 3% per annum above the Bank of England base rate, accruing daily until payment is made in full.
4.11 First Lesson guarantee: If you are unhappy with your first Lesson, you will not be charged a Tuition Fee or Platform Fee for that Lesson.
4.12 If you engage a Tutor we introduced within 6 calendar months of our introduction (verbal or written), our Platform Fee (clause 4.5) will apply to all Lessons with that Tutor, whether or not we are notified.
4.13 Group tuition / multiple payers: You may arrange for more than one payer (e.g., co-parents or colleagues) to contribute to the Lesson cost via the System or as otherwise agreed. However, you remain liable for full payment of the Tuition Fee and Platform Fee if any payer fails to pay.

6. Cancellation and Termination
6.1 Cancellation of our Services (cooling-off):
(a) Consumers (Families/individuals acting outside business): You have a legal right to change your mind within 14 days after we confirm your request for Services. However, once our Services are completed (e.g., we introduce a Tutor to you or you ask us to stop searching), you lose the right to cancel. You must pay the Tuition Fee and Platform Fee for Lessons supplied up to cancellation.
(b) Business/School Clients: No statutory cooling-off applies. You may stop using our Services at any time; charges already incurred remain payable.
6.2 Cancelling a Lesson (you or the Tutor): We encourage you and the Tutor to agree what constitutes reasonable notice at your first meeting and how you will communicate cancellations (e.g., SMS/email/phone).
6.3 Suggested cancellation guidelines:
• More than 24 hours: no charge
• 24-1 hour: 50% of the Tuition Fee
• Less than 1 hour or no-show: 100% of the Tuition Fee
Extenuating circumstances (e.g., illness/emergencies) may override this.
6.4 If you wish to terminate your engagement of a Tutor, please contact the Tutor directly.
6.5 If a Tutor stops tuition for any reason, please contact us; subject to availability, we will endeavour to introduce a replacement.

7. If There Is a Problem with Our Services
7.1 Questions or complaints: 03300 580908 or [email protected].
7.2 We are under a legal duty to supply services that conform to this contract. Consumer legal rights are summarised by Citizens Advice (www.adviceguide.org.uk). The Consumer Rights Act 2015 provides, among other things, that services must be performed with reasonable care and skill, within a reasonable time and for a reasonable price where not agreed.

8. Changes to the Services
8.1 We may make changes to reflect legal or regulatory requirements or to make minor technical adjustments and improvements.
8.2 For other changes to the Services or these Terms, we will notify you. You may end the contract before the change takes effect and, if applicable, receive a refund of sums paid in advance for Services not received.

9. Suspension of the Services
9.1 We may suspend supply to deal with technical problems, to make minor technical changes, to reflect changes in law/regulation, or to make other changes to the Services.
9.2 We will give advance notice unless the problem is urgent or an emergency. If we suspend the Services, you can end the contract and we will refund any sums paid in advance for Services not received.

10. Ending the Contract
10.1 We may stop providing the Services; if so, we will notify you and refund any sums paid in advance for Services not provided.
10.2 We may end the contract and claim any sums due if:
10.2.1 you do not make payment when due and fail to do so within 14 days of a reminder; or
10.2.2 you do not, within a reasonable time, provide information, cooperation or access needed to provide the Services.

11. Your Responsibility for Tutors
11.1 We endeavour to introduce suitable Tutors; however, you must satisfy yourself as to suitability prior to engagement. You are responsible for checking references and verifying qualifications/authorisations to your own standard-particularly where you are a School (see safeguarding obligations under your policies).
11.2 The Tutor provides tuition only and is not responsible for the safety, welfare, well-being or care of minor students, or for guarding property. For learners under 18, a responsible adult (other than the Tutor) should be aware of and able to supervise the session in line with your setting's policy.
11.3 Your contract for tuition is directly with the Tutor, not with us. We recommend a simple written agreement between you and the Tutor. We are not responsible for performance of obligations agreed (or implied) between you and the Tutor.
11.4 Before providing a Tutor's contact details, we will endeavour to:
11.4.1 obtain two references from non-family members of the Tutor;
11.4.2 obtain consent from referees to disclose references to you;
11.4.3 obtain evidence of an enhanced DBS (or accepted international equivalent) for the Tutor; and
11.4.4 obtain copies of relevant qualifications/authorisations and offer to provide copies to you.
11.5 We cannot guarantee that information submitted by a Tutor is accurate; we are not responsible for any failure by a Tutor to provide satisfactory evidence to support profile statements.

12. Our Responsibility (Liability)
12.1 We are responsible for losses you suffer caused by our breach unless the loss is: unexpected (not foreseeable), or avoidable (something you could have avoided by taking reasonable action, including following our reasonable instructions).
12.2 We do not exclude or limit liability where unlawful to do so (e.g., death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; breach of your statutory rights).
12.3 Business/School Clients: To the fullest extent permitted by law, we exclude liability for loss of profit, loss of business, business interruption, or loss of business opportunity, and our aggregate liability arising out of or in connection with these Terms shall be limited to the total Platform Fees you paid to us in the 12 months preceding the event giving rise to the claim.
12.4 Subject to clause 12.2, we do not accept liability for any inconvenience, loss or damage arising from an act or omission of a Tutor introduced by us. We offer no warranty as to the suitability, honesty, capability or character of any Tutor; Tutors are not our employees.

13. Other Important Terms
13.1 Confidentiality and onward introduction: All communications between us are confidential. If you share Tutor details or recommend a Tutor to a third party and that third party then engages the Tutor, you will be liable for the Platform Fee as if you had engaged the Tutor directly (and these Terms apply accordingly).
13.2 We may transfer our rights and obligations under these Terms to another organisation; we will inform you and ensure your rights are not affected.
13.3 You may only transfer your rights or obligations under these Terms with our written consent.
13.4 This contract is between you and us; no other person has rights to enforce its terms.
13.5 Each clause operates separately. If any clause is unlawful, the remaining provisions remain in full force.
13.6 If we delay in enforcing these Terms, we can still enforce them later.
13.7 These Terms are governed by English law. You can bring claims against us in the English courts; if you live in Wales, Scotland or Northern Ireland, you may bring claims in your local courts. We may bring claims in the courts of your country of residence.

14. Sector-Specific Notes (Information Only)
14.1 Schools (UK and International): You are responsible for completing your own safer-recruitment and safeguarding checks (including, where applicable, identity, right-to-work/visa, enhanced DBS or international equivalents, prohibition/status checks, references) and for providing your policies and DSL reporting routes to the Tutor before tuition begins.
14.2 Businesses: You may nominate multiple authorised contacts and payers and may use either payment method in clause 4.6. If you operate purchase orders or require invoice references, please add them to your account.
14.3 International (British Teachers): Lessons are online across time zones. Please confirm time zones clearly in writing. Payments are in GBP; your card issuer/bank may apply FX charges. Local law and safeguarding policies in your setting apply in addition to these Terms.
